M&A and reorganisations – successfully managing change
Mergers, demergers, contributions, as well as company acquisitions and disposals, require corporate law, tax law and business planning to work together seamlessly. Considering these areas together from the outset creates the foundation for a successful transaction.
From strategy to closing
We support the entire transaction process, from strategic preparation and structuring through contract drafting and negotiations to signing, closing and post-merger integration. Purchase price mechanisms, commercial objectives and the coordination of all parties involved are carefully aligned throughout the process.
We also support companies, corporate groups, shareholders, investors and entrepreneurial families with an Italian nexus through complex structural changes. These include domestic and cross-border reorganisations, carve-outs, group realignments, succession planning and other extraordinary measures.
